These Terms and Conditions ("Terms") govern your access to and use of the website, software platform, communications services, and reputation management solutions (collectively, the "Services") provided by Optima Technical Solutions LLC ("Company", "we", "us", or "our"), doing business as Optima Reviews.

By accessing or using our Services, you ("Client", "User", or "you") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Scope of Services

Optima Reviews provides automated customer communication, review generation workflows, feedback management, and software tools designed to assist businesses in growing their online customer reviews and managing reputation.

2. Client Data & TCPA/CAN-SPAM Compliance

• Consent Representation: Client represents and warrants that all end-user contact information (names, email addresses, phone numbers) uploaded, imported, or transmitted through the Services has been collected in strict compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and relevant data privacy regulations.

• Express Consent: Client guarantees that it has obtained prior express written consent from every contact to receive automated transactional and promotional SMS, MMS, and email communications.

• Illegal Activity: Client agrees not to use the Services to send unsolicited bulk communications ("spam"), deceptive content, or prohibited SMS content under mobile carrier policies.

3. Mobile SMS Communications & 10DLC Terms

By providing a phone number and opting into SMS communications from Optima Reviews:

• Message Authorization: You consent to receive recurring automated transactional and marketing text messages from Optima Reviews at the mobile number provided.

• Rates & Frequency: Message frequency varies. Standard message and data rates may apply.

• Opt-Out Instructions: You may cancel text messaging at any time by replying STOP to any text message. After sending STOP, you will receive one final confirmation message.

• Help Instructions: Reply HELP to any text message or contact [email protected] for customer support.

• Carriers Not Liable: Mobile carriers are not liable for delayed or undelivered messages.

4. Third-Party Platforms Disclaimer

• Independent Platforms: Our Services interface with third-party review platforms, including but not limited to Google, Yelp, Facebook, and Apple Maps. Optima Reviews is not affiliated with, endorsed by, or sponsored by these third parties.

• No Guarantees: We do not guarantee specific review volume, search ranking improvements, star-rating increases, or the removal of negative reviews. Third-party platforms maintain sole discretion over review display, algorithm changes, and account suspensions.

• No Liability for Platform Actions: Optima Reviews shall not be held liable if a third-party platform filters, removes, or flags reviews, or modifies its policies, terms, or account access rules.

5. Limitation of Liability & Disclaimers

• "AS-IS" Basis: To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.

• Consequential Damage Waiver: In no event shall Optima Technical Solutions LLC, its officers, directors, members, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of goodwill, business interruption, or loss of data.

• Cap on Liability: The aggregate liability of Optima Technical Solutions LLC arising out of or related to these Terms or the Services shall not exceed the total amount paid by Client to Optima Reviews in the one (1) month preceding the event giving rise to the claim, or $100.00 USD, whichever is greater.

6. Hold Harmless & Indemnification

Client agrees to defend, indemnify, and hold harmless Optima Technical Solutions LLC, its members, managers, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees (including attorney's fees) arising out of or relating to:

1) Client’s breach of these Terms or violation of applicable local, state, or federal laws (including TCPA and CAN-SPAM violations);

2) Any customer contact data provided or transmitted by Client through the Services;

3) Any dispute between Client and an end customer resulting from review requests or communications sent via the Services.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Cleveland County, Oklahoma.
